We look for combinations that yield economies of scale, increased revenue/market share, vertical integration, cross-selling benefits, and synergy of complementary resources. We meet with executives from each company to assist in the due diligence process to ensure that the deal is beneficial to both parties. When we meet with both parties, we work to clarify the deal strategy to understand the implications and opportunities with the people involved from each company. We verify people-related risks and implement solutions to achieve synergy through new organizational design. We also help design executive compensation, communication strategies, and a new company culture. During the due diligence process we create financial models to analyze value. In addition, we analyze the deal structure and potential tax effects, capital structure, proposed synergies and capital needs.
